<b>NASI-HSN SUPPLIER AGREEMENT</b> <p/> This is an agreement to join the NASI HME Supplier Network. It does not obligate Supplier to submit claims to any insurance plan/PPO. <p/> This agreement is entered into between the NASI HME Supplier Network (referred to as "HSN") and the accepting, accredited DME supplier (referred to as "Supplier"). This agreement shall serve as Supplier's request to join the NASI HSN Supplier Network. <p/> 1. ACCREDITATION REQUIREMENT <p/> Supplier warrants that, as of the date of accepting this agreement, Supplier is accredited by one of the Accreditation Organizations recognized by the Centers for Medicare & Medicaid Services (CMS). Supplier understands that it must maintain its accreditation in order to participate in the insurance plan/PPO portion of HSN. <p/> 2. LIABILITY INSURANCE REQUIREMENT <p/> Suppliers must provide evidence via a Certificate of Liability Form of current general liability insurance coverage of $1 million per occurrence and $3 million aggregate ($2 million aggregate with a $1 million umbrella). Suppliers must send in new/updated Certificates of Liabilities upon the expiration date of older/existing Certificate of Liabilities. <p/> 3. INSURANCE PLAN/PPO PROGRAM PARTICIPATION <p/> Once Supplier has been accepted into HSN, HSN will submit Supplier's information to participating insurance plan networks to be credentialed as participating suppliers (often in-network; sometimes out-of-network). When the Supplier is credentialed, HSN will deliver to Supplier the reimbursement rates set forth by each insurance plan network participating in the HSN. Supplier has the right to opt out of any specific PPO network at any time by providing HSN written notice of such intent. If Supplier has a direct contract with a specific insurance plan, it usually takes precedence over the HSN contract with that insurance plan. There may be rare exceptions in which a plan does not recognize an HSN member as a participating supplier. <p/> 4. TERM AND TERMINATION <p/> Supplier's Agreement with HSN will be in effect from the date of acceptance by HSN. Once a month, HSN submits new members that have current DME accreditation from CMS-approved accreditation organizations to MedGroup to be credentialed by the PPO networks. New members will be able to bill the PPO plans within the participating networks only after the credentialing process is complete, which can take as little as two weeks and as long as six months. HSN will inform new members when their credentialing is complete and they can begin billing the PPO plans. <p/> The member's credit card will be charged each month on or no more than two days after the calendar date of the member's initial credit card payment. Members may terminate their memberships at any time by submitting a written notification via email to patty.king@prsrx.com AND chris.renz@prsrx.com. THERE WILL BE NO REFUNDS. If the monthly charge has already been processed or is scheduled to be processed the day the termination notification is sent, it will not be refunded. All HSN benefits will end the day we receive the emailed termination notification. <p/> 5. ADMINISTRATION DUTIES <p/> HSN will administer the network, coordinate Supplier credentialing and negotiate with other insurers to secure additional plan contracts for Supplier and other HSN members. HSN will be responsible for negotiation of discount contracts with suppliers of home medical equipment and other items that may be utilized by Supplier and other HSN members. Many of these items will be available for ordering via the HSN web site. <p/> 6. NETWORK FEES <p/> The monthly participation fee for HSN membership (available only to suppliers with current DME accreditation from a CMS-approved accreditation organization) is $99 per month. The member's credit card will be charged each month on or no more than two days after the calendar date the member joined HSN. Members may terminate their memberships at any time by submitting a written notification via email to patty.king@prsrx.com AND chris.renz@prsrx.com. THERE WILL BE NO REFUNDS. If the monthly charge has already been processed or is scheduled to be processed the day the termination notification is sent, it will not be refunded. <p/> 7. DMEPOS SERVICE <p/> NASI-HSN MEMBERS will furnish or cause to be furnished to the Eligible Person such DMEPOS benefits and services to which such Eligible Persons are entitled under the applicable DMEPOS service agreement or DMEPOS benefits plan and/or policy in effect with HSN insurance plans/PPOs accepted by Supplier. <p/> 8. IDENTIFICATION <p/> NASI-HSN MEMBERS will require identification of every patient for whom it dispenses a DMEPOS prescription. NASI-HSN MEMBERS will require the customer to present a Medical/Prescription ID Card before filling the prescription/order. <p/> 9. CO-PAYMENT/CO-INSURANCE <p/> If known in advance, NASI-HSN MEMBERS may collect from each Eligible Person the applicable Co-payment/Co-insurance or other direct payment as communicated by HSN insurance plans/PPOs accepted by Supplier. Otherwise, co-payments may be billed to the Eligible Person after a claim is reconciled to ensure the correct amount. If Supplier overcharges an Eligible Person for any billable product or service, Supplier must refund the overcharge to the patient within 10 days of being informed of the error by HSN. Supplier will be removed from the relevant PPO contract if the overcharge is not refunded in a timely manner. <p/> 10. PAYMENT <p/> Payment for Covered DMEPOS and/or Services provided by NASI-HSN MEMBERS to Eligible Persons shall be in accordance with the reimbursement rate information for HSN insurance plan network accepted by Supplier, less the applicable Co-payment/Coinsurance, deductible, or other payment to be paid directly by the Eligible Person. Payments will be made directly to Supplier. <p/> 11. NONLIABILITY <p/> All liability arising from the provision of DMEPOS and services by Supplier will be the sole responsibility of Supplier. <p/> 12. ERRORS ON OUR SITE <p/> Errors will be corrected where discovered, and we reserve the right to revoke any stated offer, excluding current reimbursement rates that have been previously communicated to Supplier, and to correct any errors, inaccuracies, or omissions. <p/> 13. TRADEMARKS <p/> All trademarks and registered trademarks relating to services available through the HSN web site are the sole property of HSN and its affiliates. Neither party will use the other party's trademarks, logos or trade names without express written permission of the other party. <p/> 14. REPRESENTATIONS AND COVENANTS <p/> Supplier warrants that it, under its present name or any other name or under common ownership, has not been terminated as a Medicare and/or Medicaid participating Supplier within the last five (5) years. Supplier will indemnify HSN and hold HSN harmless from all loss or damage (Including reasonable expenses and attorney's fees) incurred by Supplier as a result of Supplier's breach of this Supplier Agreement. HSN will indemnify Supplier and hold Supplier harmless from all loss or damage (Including reasonable expenses and attorney's fees) incurred by HSN as a result of HSN's breach of this Supplier Agreement. <p/> 15. FORCE MAJEURE <p/> Neither party will be deemed to have breached Supplier's Agreement with HSN if its delay or failure to perform all or any part of its obligations results from a condition beyond its reasonable control, including, without limitation, flood, earthquake, fire, or other acts of God; work strikes, slowdowns, or labor unrest; riot, civil commotions, the public enemy; power or communication line failures, or other circumstances beyond its control, or by reason of the judgment, ruling, or order of any court or agency of competent jurisdiction, or change of law, rule, or regulation occurring subsequent to the effective date of Supplier's Agreement with HSN. <p/> 16. APPLICABLE LAW <p/> Unless otherwise required by the laws of the state where Supplier is located, Supplier's Agreement with HSN and all matters or disputes relating thereto will be governed by the laws of the Commonwealth of Pennsylvania without regard to choice of law provisions. <p/> 17. SECTION HEADINGS <p/> Section headings are inserted for convenience only and are not to be used in any way to construe the terms of Supplier's Agreement with HSN. <p/> 18. RIGHT TO CHANGE TERMS AND CONDITIONS <p/> NASI-HSN may, at any time and from time to time, at its sole discretion, change these Terms and Conditions. Any changes to these Terms and Conditions will be effective immediately upon posting of the changed Terms and Conditions on the Site. You agree to review these Terms and Conditions periodically, and your use of services following any such change constitutes your agreement to follow and be bound by such changed Terms and Conditions. <p/> 19. ACCEPTANCE OF AGREEMENT <p/> Acceptance of this Agreement is made by selecting "I Accept" below, and Supplier expressly understands and agrees that doing so has the same force and effect as signing the Agreement may enact.
